SELECTION OF CDOA BOARD OF DIRECTORS CANDIDATE

Any qualified Member [See Bylaws Section 5.1 (a)] may become a Board of Directors (BOD) Candidate by either Application or Petition.

Candidates' names MUST be on the ballot mailed to Owners at least 30 days in advance of the deadline for the vote count.

This year, the applications must be received by the CBR/Nominating Committee on or before their scheduled meeting on 4/22/08 at 11 AM, so that the committee can review the applications and make a recommendation to the Board of Directors on 4/23/08 to accept the slate of candidates for inclusion with the AOM package and secret ballots mailed to our Owners for voting.

Application:

1)       A prospective candidate obtains a Board of Directors (BOD) Application package by calling Club Donatello Management at (415) 885-8847 or (415) 885-8831 or printing the application form (see link at left) and Faxing or mailing it to the Club office..

2)       Club Donatello Management immediately verifies that the Owner is in good standing and meets the specified criteria for service as noted in the Bylaws Section 5.1 (a) before providing an Application Form. If the Owner is not in good standing or does not meet the Bylaws criteria for service, they are notified of this by Club Donatello Management with information as to what steps they need to take to be in good standing and fulfill the service requirements.

 3)       A pre-qualified Applicant in good standing then returns the completed Application form to the Club Donatello Management Office by the specified deadline.

 4)       Club Donatello Management forwards the Application to the Nominating Committee Chair and to members of the Nominating Committee.  The Chair will interview the candidate either directly or telephonically, or designate a member of the Nominating Committee to conduct such an interview.

 5)       The application is then referred to the Board of Directors for review and confirmation of their candidacy on the approved ballot for voting by the Owners. This can be done at a regular quarterly meeting or via FAX/E-mail communications outside of a regular meeting schedule.

 6)       Assuming a Board approval of the candidate, then the Nominating Committee Chair notifies the candidate of their approval and placement on the ballot for voting by the Owners. If the application is denied, the reason will be stated in writing by the President/CEO and communicated by the President/CEO to the applicant.

7)       Incumbents seeking re-election submit to the Nominating Committee Chair either an Application, or if an Application has previously been submitted with no changes required, a written statement indicating their candidacy.

 Petition:

1)       Members in good standing of the Club Donatello Owners Association representing at least five (5) percent of the Membership (signatures representing at least 115 PIUs) may nominate qualified candidates in conformance with By-laws Section 5.1 (a) by sending in a signed petition letter and a filled-in application (see link at the left) to the CBR/Nominating Committee at any time before 4/28 at 11:00 AM.

 2)       On timely receipt of a petition signed by the required number of Members, the BOD Secretary shall cause the name of the candidate named on the petition to be placed on the BOD ballot along with those candidates designated by the Nominating Committee and approved by the Board of Directors.

 Following the closing of nominations, the election of Directors shall be conducted by secret ballot.
