EXECUTIVE
COMMITTEE
This Committee is composed of the President & CEO, the Vice-President, and
the Secretary. The President & CEO functions as the Chair of the committee,
however, in his absence, the Vice-President will be the Chair, and an additional
Director is to be invited with voting power on any such actions taken by the
Executive Committee, so that there will always be at least 3 Officers of the
Corporation directly involved in such actions.
This Committee may invite other members of the Board of Directors and the CDOA
Legal Counsel to participate in policy deliberations and review of specific
situations, however, the voting members of this Committee are its 3 regularly
elected Officers as noted above.
This Committee is authorized and responsible for all final policy guidelines and
interpretations, final action on existing and/or prospective legal contracts and
matters of legal significance to the CDOA, final disciplinary actions involving
Owners and Team Members in any capacity with the CDOA, and all final
internal appeals provided for in any part of the CC&R's/Bylaws/Rules that
are subject to the final review and action of this body, final policy
interpretation and approval issues involving the Club Donatello Management Team
and Team Members, final editorial approval as necessary on all Club Donatello
Communiqué' and CDOA WEB page communications, and any final actions needed for
the good and welfare of the Association.
