CC&R's/BYLAWS/RULES
and NOMINATING COMMITTEE - (CBRN)
This Committee includes a Board Liaison, a Club Manager, and is
chaired by a non-Board member with a vice-chairman to ensure Owner-run
leadership of this function. It includes other Owners who have
experience in the review of CC&R's/Bylaws and operating policies,
practices and rules of a nonprofit mutual benefit corporation,
condominium/homeowners association or similar entity having CC&R’s and
Bylaws.
This Committee is responsible to regularly review operating policies and
practices to ensure that the CDOA is in full compliance with its
CC&R's/Bylaws and Rules, and the applicable laws of the State of
California governing our type of organization and operations. Also, they
review any situations involving CDOA Owners, Guests, and occupants of
CDOA facilities that may be required to ensure compliance with these
documents and that they are regularly enforced in a consistent and
proper fashion. This may include conducting investigations and holding
fact-finding hearings prior to making recommendations for action to the
Board of Directors on such matters.
This Committee is also responsible to regularly review the PPCA
CC&R's/Bylaws and Rules to ensure that the PPCA is in full compliance,
and to make recommendations to the CDOA’s Board of Directors
accordingly.
This Committee is responsible to provide drafts/updates of recommended
changes to the CDOA's and PPCA’s CC&R's/Bylaws and Rules, and to present
these to the Board of Directors for review and approval. Also, the
required communications with CDOA Owners, either for general awareness
and/or voting on any such changes to the CC&R's/Bylaws, and Rules will
be coordinated by this Committee, inclusive of the Annual Owner's
Meeting and Annual Billing Package communications.
This Committee functions as the Inspector of Elections at the Annual
Owner's Meeting, inclusive of all ballots received prior to and during
the Meeting, and handling of any challenges or questions that may arise
regarding the conduct of this Meeting.
This Committee will initiate the communications necessary to solicit for
both Director and Board-appointed committee candidates, the development
of standardized application forms for completion by any candidates, the
announcements of number of positions open for election or placement on a
committee, the collection of applications, their review and
determination of meeting the minimum qualifications as specified in the
Bylaws and/of the policies and procedures of the CDOA, and then to
select from those applications a slate of qualified candidates for
election or placement on a committee.
The Chair will present the slate of recommended candidates for Director
positions to the Board of Directors for final approval prior to the
issuance of the ballot for voting by the Owners as part of the Annual
Owner's Meeting.
This Committee also functions throughout the year as a standing
committee for recruitment, screening and referral of qualified
candidates to serve on all CDOA approved committees.
